Terms of Service

These Terms of Service ("Terms") govern your access to and use of the LineupMD website and services located at lineupmd.com (the "Service"), operated by Simple Software LLC, doing business as LineupMD ("we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

1. Service Description

LineupMD is a healthcare provider search and sales intelligence platform. We index publicly available data from the Centers for Medicare & Medicaid Services (CMS), including the NPPES NPI Registry, Open Payments, Medicare Provider Utilization data, and Medicare Part D Prescribing data, and make it searchable through our web interface. The Service allows users to search for healthcare providers by specialty, location, and other criteria, view provider details, export results to CSV, and set up alerts for new providers matching specific criteria.

2. Account Terms

2.1 Account Creation

Certain features of the Service require you to create an account. When you create an account, you must provide accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

2.2 Account Security

You must notify us immediately at support@lineupmd.com if you become aware of any unauthorized access to or use of your account. We are not liable for any loss or damage arising from your failure to protect your account credentials.

2.3 Account Eligibility

You must be at least 18 years of age to create an account and use the Service. By creating an account, you represent and warrant that you meet this requirement.

3. Payment Terms

3.1 Subscription Plans

LineupMD offers both free and paid subscription plans. Paid plans provide additional features such as expanded CSV export limits, alert notifications, and enriched provider data. Current plan details and pricing are available on our website and may be updated from time to time.

3.2 Billing

All payments are processed through Stripe. By subscribing to a paid plan, you authorize us to charge the payment method on file through Stripe on a recurring basis (monthly or annually, depending on the plan selected) until you cancel. Subscription fees are billed in advance at the beginning of each billing period.

3.3 Cancellation

You may cancel your subscription at any time through your account settings. Upon cancellation, your paid features will remain active until the end of your current billing period. We do not provide prorated refunds for partial billing periods.

3.4 Price Changes

We reserve the right to change our subscription prices. If we change pricing, we will provide at least 30 days' notice before the new price takes effect. Your continued use of the Service after a price change constitutes acceptance of the new pricing.

4. Acceptable Use

You agree not to use the Service to:

• Scrape or bulk-download data — You may not use automated scripts, bots, scrapers, or other programmatic means to access the Service or extract data beyond the intended functionality of our interface and API.
• Resell raw data — You may not resell, redistribute, or sublicense the raw provider data obtained through the Service as a standalone dataset or data product. You may use exported data within your organization for sales, marketing, and business development purposes.
• Harass healthcare providers — You may not use the data obtained through the Service to harass, stalk, threaten, or intimidate any healthcare provider or individual. All outreach must comply with applicable laws including the Telephone Consumer Protection Act (TCPA) and CAN-SPAM Act.
• Misrepresent affiliation — You may not represent or imply that you are affiliated with, endorsed by, or acting on behalf of CMS, HHS, or any government agency in connection with your use of data obtained from the Service.
• Circumvent access controls — You may not attempt to bypass authentication, exceed rate limits, access accounts belonging to others, or otherwise circumvent any technical measures we use to protect the Service.
• Violate applicable law — You may not use the Service in any manner that violates any applicable federal, state, or local law or regulation.

We reserve the right to suspend or terminate accounts that violate these acceptable use terms, with or without notice.

5. Data Accuracy Disclaimer

The provider data available through LineupMD is sourced from public datasets published by the Centers for Medicare & Medicaid Services (CMS). While we update our database regularly and make reasonable efforts to ensure accuracy, we do not guarantee that the data is accurate, complete, current, or error-free. Provider information such as addresses, phone numbers, and specialty classifications may be outdated or incorrect in the underlying CMS data. You should independently verify any critical information before relying on it for business decisions.

LineupMD is not responsible for errors, omissions, or inaccuracies in the underlying public datasets, nor for any decisions made or actions taken based on data obtained through the Service.

6. Intellectual Property

6.1 Our Property

The Service, including its design, user interface, software, algorithms, search functionality, data indexing methods, branding, and documentation, is owned by LineupMD and protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service or its underlying technology without our prior written consent.

6.2 Public Data

The underlying healthcare provider data sourced from CMS is public domain information. Our intellectual property rights apply to the way we organize, index, present, and enrich that data — not to the raw public data itself.

6.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a non-exclusive, royalty-free, perpetual, irrevocable license to use and incorporate that feedback in any manner without obligation to you.

7. Limitation of Liability

You agree to indemnify, defend, and hold harmless LineupMD and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) your use of data obtained through the Service, including any outreach to healthcare providers.

9. Termination

9.1 By You

You may stop using the Service at any time. You may delete your account by contacting us at support@lineupmd.com. If you have an active paid subscription, cancellation of your account will also cancel your subscription effective at the end of the current billing period.

9.2 By Us

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Reasons for termination may include, but are not limited to, violation of these Terms, suspected fraudulent or abusive activity, or extended periods of inactivity.

9.3 Effect of Termination

Upon termination, your right to access the Service ceases immediately. Sections of these Terms that by their nature should survive termination will survive, including but not limited to Sections 5 (Data Accuracy Disclaimer), 6 (Intellectual Property), 7 (Limitation of Liability), 8 (Indemnification), and 10 (Governing Law).

10. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of law principles. Any legal action or proceeding arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in the State of Colorado, and you consent to the personal jurisdiction of such courts.

11. Modifications to the Service

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, including availability of any feature, database, or content, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

12. Changes to These Terms

We may revise these Terms from time to time. When we make material changes, we will update the effective date at the top of this page and, where appropriate, notify you via email. Your continued use of the Service after revised Terms take effect constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service.

13. Miscellaneous

• Entire Agreement — These Terms, together with our Privacy Policy, constitute the entire agreement between you and LineupMD regarding the Service.
• Severability — If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force and effect.
• Waiver — Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.
• Assignment — You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
